End User License Agreement (EULA)

1. Agreement to Terms & Grant of License

This End User License Agreement ("EULA") is a legal agreement between you ("Licensee" or "you") and Vinnogro("Licensor", "Company", "we", "us", or "our"), governing your installation, access, and use of the Jobmio web software application, the "Save to Jobmio" browser extensions, and associated documentation (collectively, the "Software").

By installing, copying, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install, access, or use the Software.

1.1 License Grant

Subject to your continuous compliance with this EULA, Licensor grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited personal license to:

• Access and use the Jobmio Software via web browsers on supported devices.
• Download, install, and execute the "Save to Jobmio" browser extension locally on your personal or work computer for personal career management and application tracking.

2. Permitted Uses & Scope of License

The Software is licensed, not sold, to you. This license grants you the right to:

1. Maintain your personal work history, education, skills, and career objectives.
2. Clip and organize job postings for personal employment opportunities.
3. Tailor resumes and cover letters using the Software's automated formatting and AI tooling.
4. Publish personalized candidate portfolios (/portfolio/[token]) and interview availability schedules for review by prospective employers and recruiters.

3. License Restrictions & Prohibited Conduct

You agree that you will not, and will not permit any third party to:

• Reverse Engineer: Decompile, disassemble, reverse engineer, or attempt to derive the source code, underlying structure, or algorithms of the Software.
• Commercial Sublicensing: Sublicense, sell, lease, rent, distribute, or provide time-sharing or bureau service access to the Software.
• Automated Scraping: Deploy autonomous crawlers, bots, or scripts to systematically harvest, extract, or mine data from the Software.
• Circumvention: Bypass, alter, or circumvent technical protections, license keys, rate limits, or security controls.
• Modification: Modify, adapt, translate, or create derivative works based upon the Software.
• Unlawful Use: Use the Software for any purpose that violates applicable local, state, national, or international laws or regulations.

4. "Save to Jobmio" Browser Extension Specifics

4.1 Local Browser Execution

The "Save to Jobmio" browser extension executes scripts locally within your browser client to extract rendered job advertisement elements (title, company, description, salary) from web pages you visit upon your request.

4.2 Marketplace Terms Compliance

Your installation and use of the browser extension must comply with all applicable terms and conditions established by the application store or distribution marketplace from which you obtained the extension, including the Google Chrome Web Store Terms of Service and the Apple Safari Extensions / App Store Guidelines.

4.3 Permissions Scope

The extension requests only those permissions (activeTab, scripting, storage, cookies) strictly necessary to parse active job advertisements on your demand and sync with your authenticated Jobmio session.

5. Intellectual Property & Proprietary Rights

5.1 Licensor Ownership

The Software, including its user interface, layout, typography tokens, database schemas, API architecture, logos, branding, trademarks, and code, is the exclusive proprietary property of Vinnogro and its licensors. All rights not expressly granted to you under this EULA are reserved by Vinnogro.

5.2 User Data Ownership

You retain 100% intellectual property ownership of your personal career history, uploaded resumes, cover letters, and application notes. Nothing in this EULA transfers ownership of your candidate career records to Vinnogro.

6. Updates, Maintenance & Modifications

Licensor may from time to time develop patches, bug fixes, updates, upgrades, and other modifications to improve the performance of the Software ("Updates"). You agree that Licensor may deploy Updates automatically without prior notice or consent. Licensor reserves the right to modify, suspend, or discontinue any feature or functionality of the Software at any time.

7. Termination of License

This EULA is effective until terminated. Your rights under this license will terminate automatically without notice from Licensor if you fail to comply with any of its terms or conditions.

Upon termination, all licenses granted to you shall immediately cease, and you must immediately cease all access to the web application and uninstall all copies of the browser extension from your devices.

8. Disclaimer of Warranties ("AS IS")

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SOFTWARE IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND ANY SERVICES PERFORMED BY OR ACCESSED THROUGH THE SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

VINNOGRO HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE SOFTWARE, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL VINNOGRO BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, LOSS OF EMPLOYMENT OPPORTUNITIES, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SOFTWARE.

IN NO EVENT SHALL VINNOGRO'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU TO VINNOGRO FOR ACCESS TO THE SOFTWARE DURING THE PRIOR TWELVE (12) MONTHS, OR FIFTY AUSTRALIAN DOLLARS (AUD $50.00), WHICHEVER IS GREATER.

10. Export Controls & Legal Compliance

You represent and warrant that: (a) you are not located in a country that is subject to a government embargo; and (b) you are not listed on any government list of prohibited or restricted parties. You agree to comply with all applicable international and national export control laws and regulations that apply to the Software.

11. Governing Law & Dispute Resolution

This EULA and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia, without giving effect to any choice or conflict of law provision or rule. You consent to the exclusive personal jurisdiction and venue of the courts located in New South Wales, Australia.
